1. Acceptance of Terms

By creating an account, completing a health assessment, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Medical Consent. These Terms constitute a legally binding agreement between you and Vionti Health.

2. Description of Services

Vionti Health provides a telehealth platform that connects patients with licensed healthcare providers for medical consultations related to sexual health. Our Services include:

Online health assessment questionnaires reviewed by licensed physicians
Asynchronous and synchronous telehealth consultations with licensed healthcare providers
Physician-prescribed compounded medications, including sublingual tablets and chewing gum formulations
Prescription fulfillment through U.S.-based compounding pharmacies
Discreet shipping of prescribed medications directly to your address

3. No Doctor-Patient Relationship Until Consultation

Browsing our website, creating an account, or completing a health assessment questionnaire does not create a doctor-patient relationship. A doctor-patient relationship is established only when a licensed healthcare provider reviews your health information and agrees to provide you with medical care through our platform. We reserve the right, and our physicians reserve the right, to decline to provide treatment if, in their professional medical judgment, treatment is not appropriate.

4. Eligibility

To use our Services, you must:

Be at least 18 years of age
Be a resident of the United States
Be located in a state where our physicians are licensed to practice
Have the legal capacity to enter into a binding agreement
Not be a person barred from receiving services under the laws of the United States or other applicable jurisdiction

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your identity and eligibility at any time.

5. Account Responsibilities

When you create an account with us, you agree to:

Provide accurate, current, and complete information during registration and in all health assessments
Maintain and promptly update your account information to keep it accurate and current
Maintain the security and confidentiality of your account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

You may not share your account credentials with any other person, and you may not use another person's account. We reserve the right to suspend or terminate your account if we suspect unauthorized or fraudulent activity.

6. Health Information Accuracy

You agree to provide truthful and accurate information in all health assessments, questionnaires, and communications with healthcare providers. Providing false or misleading health information may result in inappropriate medical treatment and could endanger your health. Vionti Health and its affiliated providers are not liable for any harm resulting from inaccurate or incomplete health information you provide.

7. Payment Terms

Pricing: All prices for consultations and medications are displayed on the Site at the time of purchase. Prices are subject to change without prior notice
Payment: Payment is required at the time of purchase. We accept major credit cards and other payment methods as displayed on the Site
Subscriptions: If you enroll in a subscription plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account or by contacting us
Taxes: You are responsible for any applicable taxes associated with your purchases
Refunds: Refunds are subject to our Refund Policy

8. Prescription Medications

All medications provided through our Services are prescribed by licensed healthcare providers and fulfilled by U.S.-based compounding pharmacies. You acknowledge and understand that:

Compounded medications are prepared based on a physician's prescription for an individual patient
Compounded medications are not FDA-approved as finished products, though they are prepared using FDA-regulated ingredients by licensed pharmacies
Medications are prescribed at the sole discretion of the treating physician and may not be available to all patients
You must follow all instructions provided by your physician and pharmacist regarding the use of prescribed medications
You must not share, sell, or distribute any medications prescribed to you

9. Intellectual Property

All content on the Site, including text, graphics, logos, images, software, and the compilation thereof, is the property of Vionti Health or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not:

Copy, reproduce, distribute, or create derivative works from any content on the Site

Reverse engineer, decompile, or disassemble any software or technology used in the Services
Use any data mining, robots, or similar data gathering methods on the Site

10. Prohibited Conduct

You agree not to:

Impersonate any person or entity or misrepresent your affiliation with any person or entity

11. Limitation of Liability

To the maximum extent permitted by applicable law:

Vionti Health, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim
We do not guarantee any specific medical outcomes from the use of our Services or prescribed treatments

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vionti Health, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved as follows:

Informal Resolution: Before filing any formal dispute, you agree to contact us at support@viontihealth.com and attempt to resolve the dispute informally for at least 30 days
Binding Arbitration: If informal resolution fails, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida.

15. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.
